These Terms of Paid Service, including our Privacy Policy, which is incorporated herein by reference (together, these "Terms" or this "Agreement"), and is an important document that you should read, is a legally binding contract between you and LOHAS GAMES PTE. LTD. and its affiliates (collectively, "Cybercut," "Company", "us," "we," or "our") regarding your use of the paid services of Cybercut and associated websites (collectively, "Services", "Cybercut"). References to "User," "you", and "your" refer to the individual accepting this Agreement, placing an order, creating an Account (defined below), or otherwise using the Services.
To use the Service and related functions, you shall read and comply with this Agreement, the Cybercut User Service Agreement, the Privacy Policy, rules, guidelines, policies, notices and instructions pertaining to the use and/or access of our Website/SDK/API, the Paid Services and related promotions and other activities, as well as any amendments to the foregoing, issued by us from time to time (hereinafter collectively referred to as the "Service Agreements and Rules"). This Agreement is a supplemental agreement to the Cybercut Terms of Service and Cybercut Privacy Policy, and is incorporated in each of them, which collectively constitutes an agreement binding upon you. In case of any conflict or inconsistency between this Agreement and the Cybercut Terms of Service or Cybercut Privacy Policy, this Agreement shall prevail to the extent of such inconsistency. For matters not stipulated in this Agreement, the Cybercut Terms of Service and the Cybercut Private Policy shall apply.
YOU MUST CAREFULLY READ AND FULLY UNDERSTAND THESE TERMS, INCLUDING ANY TERMS THAT MAY EXEMPT OR RESTRICT THE COMPANY'S LIABILITIES AND/OR RESPONSIBILITIES AND ANY TERMS THAT MAY RESTRICT AND/OR CONSTITUTE A WAIVER OF YOUR RIGHTS, AS THEY APPLY TO YOUR USE OF THE SERVICES. YOUR USE OF THE SERVICES IS CONDITIONAL ON YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE WITH OR ACCEPT THESE TERMS, YOU SHALL NOT USE ANY PAID SERVICES OF CYBERCUT OR ANY OF OUR OTHER SERVICES. ALL DISCLAIMERS, INDEMNITIES AND EXCLUSIONS IN THIS AGREEMENT SHALL SURVIVE TERMINATION OF THIS AGREEMENT BETWEEN US FOR ANY REASON.
Anyone below the age of 13 or other minimum age as defined under the applicable laws of your jurisdiction ("Minimum Age") shall not use the Paid Services. If you have reached the Minimum Age but are under the age of majority as defined under the applicable laws of your jurisdiction ("Majority Age"), you may only use the Paid Service through the representation of your parent or legal guardian, and your parent or legal guardian hereby represents you and accepts these Terms.
We reserve the right to amend, replace and/or otherwise update these Terms from time to time. We will use reasonable endeavors to notify you of any material changes to these Terms.
Every time you wish to use our Paid Services, please check these Terms to ensure you understand the Terms that apply at that time. You may determine if any such update has taken place by referring to the date on which these Terms were last updated. Your continued use of our Website/SDK/API and the Paid Services constitutes your acknowledgement and acceptance of such changes.
1. Definitions
This Agreement applies to Cybercut users purchasing various Paid Services under the Cybercut function on the Cybercut platform and our partner platforms. Currently, we provide various paid services including "Subscription Service", "Credit Pack" purchase services, and other Paid Services (subject to the product page rule description and service equity actual display at the time of actual purchase). Your purchase and use of any one or more of the above Paid Services will be subject to this Agreement.
All other relevant agreements, activity rules, announcements, instructions, in-site letter notifications, etc. (collectively referred to as "Platform Rules") related to Cybercut that we have released, may release in the future, or modify from time to time are inseparable parts of this Agreement and have the same legal effect as this Agreement.
Cybercut / Cybercut Platform: Refers to the Cybercut brand legally owned or authorized to be operated by the Company, including but not limited to the Cybercut website (https://cybercut.ai/zh), as well as the Cybercut related software development kits (SDK) and application programming interfaces (API) used by third-party websites and applications, and other existing and future websites, web pages, clients, mini-programs, and new service carriers emerging with technological development (hereinafter or referred to as the "Platform"). The Company has the right to adjust the specific Cybercut software version provided to you at any time according to business development and arrangements. Please refer to the version you actually download and use.
Paid Services / the Service: Refers to the service provided by the Cybercut based on Cybercut products to you, where you can enjoy corresponding Cybercut product equities through qualification acquisition or payment of a certain fee. After obtaining qualification or paying the fee, you can continue to experience the paid equities within the designated scope of the Cybercut platform during the corresponding service period, hereinafter referred to as Cybercut Paid Services, Paid Service or "the Service". Please note that different Cybercut product forms may provide and support different Paid Services. Please carefully understand the relevant information on the product interface when using the corresponding service.
This Agreement: Refers to the Paid Services Agreement reached between the Company and/or its affiliates and you (hereinafter or referred to as "User") regarding your use of Cybercut Paid Services, hereinafter referred to as "this Agreement".
User: Refers to the Cybercut user who logs in and uses Cybercut and intends to use the Service, hereinafter referred to as "User" or "You".
Subscription Service: Refers to the Cybercut Subscription Service provided to you by the Cybercut platform. Please refer to Article 3 of this Agreement for the description of subscription service equities. The specific equity content is subject to the product interface publicity and service equity actual display at the time of your actual purchase.
Credits: Refer virtual tools provided by us to Users for related consumption within Cybercut. You can use "Credits" to redeem specific functions on the Cybercut platform (hereinafter referred to as "Credit Service"). For the avoidance of doubt, the Credit Service is the network technology and related services provided by Cybercut to Users. The Credit Service is not a network payment service, and Credits are not token vouchers, virtual currencies, or prepaid vouchers, and do not have monetary value or prepaid value. The specific equity content is subject to the product interface publicity and service equity actual display at the time of your actual purchase.
Separate Paid Service: Refers to separate paid services provided by the Cybercut platform for certain specific functions in addition to subscription service and credit purchase services. The specific equity content is subject to the product interface publicity and service equity actual display at the time of your actual purchase.
User Account: Refers to the Cybercut account registered, logged in, and used by the User. User account types include "Subscription Account" and "Ordinary Account"; users can use the "User Account" to activate and purchase one or more Cybercut Paid Services.
Subscription Account: Refers to the user account bound to the Cybercut subscription service subscribed to by the user. After you successfully activate the subscription service, you become a "Subscription User".
Ordinary Account: Refers to a user account that is not a subscription account. Ordinary accounts have not activated subscription service and can use the platform services by consuming credits gifted by the platform. Whether credits are gifted, the gift quantity, and the distribution rules are subject to the actual activities carried out by the platform.
Number of Uses: Refers to the corresponding available number of times obtained by the user after paying the corresponding service fee when purchasing the Services. The specific equity content is subject to the product interface publicity and service equity actual display at the time of your actual purchase.
Service Fee: Refers to the fee actually paid by the User to purchase one or more Paid Services. The service fee collection scheme is subject to the publicity on the front-end interface of the relevant paid service product.
Effective Period / Validity Period / Usage Period / Subscription Period: Refers to the effective period during which the user can obtain and use the service and related equities after purchasing one or more Paid Services, which is subject to the effective period publicized on the front-end interface of the corresponding paid service product.
Platform Rules: Refers to the collective name of this Agreement, the Cybercut User Service Agreement, the Cybercut Privacy Policy, and the Cybercut related service agreements, single/multiple paid service agreements, rules, etc., released by the Company now or in the future. The aforementioned contents shall take effect upon official release and are inseparable parts of this Agreement. In the event of any conflict, this Agreement shall prevail.
2. Registration and Use of the Service

You must first register or log in to Cybercut Platform and complete real-name authentication before you can continue to purchase and use this service.

Various Paid Services of Cybercut functions apply different payment models, including but not limited to (1) Cybercut Subscription Service; (2) purchasing "Credit Pack" to redeem credits, etc. Please carefully read the relevant usage rules for the specific Service you intend to purchase in this Agreement, the product interface publicity at the time of actual purchase, and the service equity actual display page. The Company may adjust the payment model based on different marketing strategies and specific product conditions. The actual payment model displayed on the front-end product function shall prevail.

Before purchasing and using any paid service, please be sure to read and fully understand this Agreement carefully, especially the relevant usage rules for the specific Service you intend to purchase, and the terms we remind you to pay attention to in a reasonable manner such as bold black text (including but not limited to payment and subscription cancellation related rules, paid equity related usage rules, exemption or limitation of liability clauses, governing law and dispute resolution clauses, etc.).

If you do not agree to any or all of the terms of this Agreement, please do not proceed to the next step or use any paid service in any form of confirmation (including but not limited to checking agreement to this Agreement, clicking "Buy Now", payment behavior, etc.). When you proceed to the next step or use any paid service in a confirmation form, it means that you have read and agreed to sign all the contents of this Agreement. This Agreement shall have legal effect between you and us and become a legal document binding on both parties.

Anyone under the age as defined under applicable laws of your jurisdiction ("Minimum Age") shall not use the Services. If you have reached the Minimum Age but are under the age of majority as defined under applicable laws of your jurisdiction ("Majority Age"), you may only use and register for a User Account on the websites and/or apps through the representation of your parent or legal guardian, and your parent or legal guardian hereby represents you and accepts this Agreement.

You can activate the Paid Services and obtain corresponding service equities after completing the corresponding operation steps according to the actual product purchase interface and confirming the successful payment of the service fee.

Please note that the effective period and the scope of equities you have obtained above are subject to the product interface publicity.

Please understand that we will limit the maximum number of terminals that the same User Account can log in and/or be online to the same User Account at the same time. Specific rules are subject to the product interface publicity. If you exceed the aforementioned limits, the Company has the right to take processing measures such as limiting login, limiting use, interrupting or terminating the service based on your excessive usage.

If you cannot use the purchased Paid Services normally due to changes in laws and regulations, government actions, changes in circumstances, etc., we will notify you in an appropriate manner, but will not bear any losses caused to you thereby. If you have any questions about this, you can contact us through the complaint and contact information agreed upon in this Agreement.

Please understand that we may send information such as recommended content, paid user benefits, and discount activities to you through the mobile phone number bound to your user account or through in-site letters, in-site announcements, etc. If you do not agree to receive it, you can close or cancel subscription at any time according to the closing or subscription cancellation options attached to the aforementioned information.
3. Paid Services
3.1 Subscription Service
Continuous Subscription
The Company supports continuous subscription. Users activate the automatic renewal function. Currently, continuous subscription includes types such as "Monthly Subscription" and "Yearly Subscription" / "12 Month Subscription" (specifically subject to the product interface publicity and actual display at the time of your actual purchase). Relevant automatic renewal rules are seen in the Appendix "Automatic Renewal Service Rules" of this Agreement. The Company may increase or adjust the aforementioned continuous subscription types and related automatic renewal service equity contents at any time according to business development and changes in user needs. Please pay attention to carefully reading the publicity rules and instructions on the platform interface at that time when choosing continuous subscription related services.
Subscription Equities
After you activate the Subscription Service, within the validity period of your subscription service, you will obtain the following subscription equities according to your subscription type:
(i) Subscription exclusive gift "Credits" equity (the "Credits" distributed and gifted under the subscription equity can be used within the validity period, see Article 4 of this Agreement for details; the "Credits" gift quota varies according to different subscription types, and is ultimately subject to the display on the subscription purchase page);
(ii) When your credits are exhausted or expire, you can obtain credits by purchasing "Credit Pack";
(iii) Other Paid Services equities updated from time to time to improve the subscription user experience.
In addition, you are reminded that the content of the subscription equities you can enjoy is ultimately subject to the product interface display and service equity actual display at the time of your actual purchase.
Change of Equities
Please understand that in order to improve user experience and perfect service content, the Company may update and optimize each Paid Services, function, fee scheme, subscription scheme, and user equity from time to time. The update and optimization process may involve the offline or adjustment of some launched functions and equities. The Company will try its best to protect your legitimate rights and interests.
Equity Validity Period
Within the effective period of the Service you have activated, the User Account that enjoys the aforementioned equities is your subscription account. Subscription Services require you to log in to your subscription account to use. The validity period of the Paid Services you purchase is subject to the effective period publicized on the front-end interface of the corresponding Paid Services product. After the effective period of the Paid Services expires, if you do not renew or continue to purchase other Paid Services, your subscription account will restore to an ordinary account, and you will no longer be able to continue to enjoy corresponding subscription equities. The Company hereby reminds you that since usage rules such as the effective validity period are related to your own equities, please be sure to carefully check the relevant Paid Services purchase interface and the detailed page description of the service when purchasing, fully understand the content publicized in this Agreement, the purchase interface and the detailed page description, to ensure that you have a clear understanding and cognition of the purchased Paid Services, obtained corresponding equities and usage rules.
Validity Period Inquiry
After you activate the Paid Services, you can log in to the subscription account to query your paid equity information. The query path is: Click [Personal Avatar] - [My Subscription] on the home page.
3.2 Paid Services Change
To improve user experience, in some scenarios, we support subscription users to update subscription packages on the basis of existing packages. The subscription types, payment rules, and subscription equity effective sequence that the platform supports updating are subject to the display on the relevant subscription purchase page.
4. Credit Equities

Credits are virtual tools provided by us to Users for related consumption within Cybercut. You can use "Credits" to redeem specific functions on the Cybercut platform (hereinafter referred to as "Credit Service").

For the avoidance of doubt, the Credit Service is the network technology and related services provided by Cybercut to Users. The Credit Service is not a network payment service, and Credits are not token vouchers, virtual currencies, or prepaid vouchers, and do not have monetary value or prepaid value. The specific equity content is subject to the product interface publicity and service equity actual display at the time of your actual purchase.

Credits can only be used to redeem Cybercut products or services agreed upon in this Agreement. Credits do not support being reversely redeemed for User's local Currency.

Users shall not obtain/use Credits for profit and other non-personal use purposes, or obtain/dispose of credits through gifting, lending, transferring, selling, mortgaging, licensing others to use, etc.
Recharge Purchase
Registered Users can purchase Credits through Continuous Paid Services in accordance with this Agreement and relevant platform rules. Subscription Users can also redeem credits by purchasing "Credit Pack". The fee for purchasing credits will be collected from the user by the Company or a partner designated by the Company. Third-party payment channel providers may formulate relevant channel service charge according to their standards and collect them at the time of user payment. Therefore, if you intend to purchase credits, please be sure to pay attention to the third-party payment channel provider service handling fee and choose the payment method according to your own needs. Users acknowledge and agree that the validity period of credits purchased through subscription is 1 month, and the validity period of credits purchased through "Credit Pack" is 2 years. When the validity period expires, the credits will automatically become invalid and will not be refunded or supplemented.
Subscription Equity Additional Gift Credits
After the subscription equity takes effect, the additional gift credits distributed under your subscription equity item will be distributed in a monthly cycle within the subscription validity period. The credit validity period is one month from the date of system distribution. In detail:

Upon monthly subscription activation, you will be entitled to XX credits per month, with such credits expiring on the corresponding date of the subsequent month. Auto-renewal fee will be deducted 2 calendar days prior to the corresponding date of the next month; where there is no corresponding date in the next month, the deduction date shall be advanced by 1 day. Example: Subscription on August 31 → credits expire on September 30, deduction on September 28. A reminder notification will be dispatched prior to the deduction. Note: This is a virtual product, and all payments are non-refundable once processed.

Upon annual subscription activation, you will be entitled to XX credits per month, with such credits expiring on the corresponding date of the subsequent month. The auto-renewal fee will be deducted 2 calendar days prior to the corresponding date of the next year; where there is no corresponding date in that month, the deduction date shall be advanced by 1 day. Example: Subscribe on August 31, 2024 → the first batch of credits expire on September 30, 2024, and auto-renewal deduction falls on September 28, 2025. A reminder notification will be dispatched prior to deduction. Note: This is a virtual product, and all payments are non-refundable once processed.
If the subscription equity changes, the system distribution time of the credits gifted by the subscription equity will change with the changes in the subscription equity. The credit validity period is one month from the date of system distribution. The validity period of the credits gifted by the subscription equity that have been distributed before the change of the subscription equity will not change. If different credit validity period application rules may be caused due to service strategy adjustments, the relevant rule description displayed by the actual front-end product function shall prevail.
5. Fees
5.1 Fee Standards

Please understand that the Company has the right to independent pricing for the paid services provided by Cybercut. Various paid services of Cybercut apply different payment models. Please carefully read the relevant usage rules for the specific paid service you intend to purchase in this Agreement and the front-end product payment page. The Company may adjust the payment model based on different marketing strategies and specific product conditions. The actual payment model and relevant rule description displayed on the front-end product function shall prevail.

Change of Collection Method: Please understand that based on market and business development, operational needs, and equity adjustments, the fee schemes for various paid services or specific equities, payment models, validity periods, gifted equities (if any), etc., included under the service may be adjusted from time to time. The adjustment of the fee scheme will take effect from the date of announcement. The usage equities of the paid services you have purchased before the adjustment takes effect will not be affected, but if you need to purchase separately after the corresponding equities are used up, the adjusted fee scheme shall prevail. The Company will try its best to guarantee your equities, and you understand and agree to purchase corresponding services according to the latest publicized fee scheme. You agree that your continued operation behavior (including but not limited to clicking agreement, or continuing to purchase, or completing payment behavior, or using paid services, etc.) shall be deemed as your knowledge and agreement to the changed collection method and fee standards.

Price Description: Unless otherwise explained in the specific paid service purchase interface and relevant equity details page, the explanation for prices in the purchase interface and relevant equity details page shall be subject to the understanding and interpretation of this article:

Original Price/List Price: Refers to the market reference price, guiding price, or the sales price it has once displayed, formulated by the Company. Due to differences in regions and time and fluctuations in market conditions, the market reference price, guiding price, etc., of paid service equities may be inconsistent with the sales price displayed at the time of your actual purchase/consumption. The original price/list price is for your reference only.

Current Price/Selling Price: Refers to the sales price and real-time marked price displayed for paid service equities, and the nature will not change due to differences in expression. The specific transaction price may change according to promotional activities for all or part of the paid service equities or the user's use of coupons, credits, etc. The actual price for you to purchase paid service equities shall be subject to the price on the order settlement page.

Activity Promotional Price / Discount Price: Unless otherwise specified, the activity promotional price/discount price is the discounted price given on the basis of the original price/list price or market reference price and guiding price. If you have any questions, you can contact customer service before purchasing.

Subscription Price: Unless otherwise specified, refers to the exclusive discounted price for subscription users given on the basis of the price/discount price or market reference price and guiding price. If you have any questions, you can contact customer service before purchasing.

Price Abnormality: Due to the possible existence of system cache, page update delays and other uncertainties, resulting in price display abnormalities, the actual price of all or part of the equities of a single paid service please refer to the price on the order settlement page. If you find an abnormal situation, please contact us immediately for correction, so that you can smoothly complete the purchase of paid service related equities.
5.2 Purchase and Payment

Please note that the purchase of various paid services under this Agreement must be operated after you log in to your Cybercut User Account. If you do not log in to a User Account (i.e., "Guest Mode"), you will not be able to purchase paid services or perform payment operations.

Please be sure to use the official recharge method designated by Cybercut for payment (different terminals and systems may support different payment methods, please complete the payment according to the instructions on the payment page). If you use a payment method not designated by Cybercut or an illegal way for payment, the Company does not guarantee that the payment will be completed smoothly or correctly, and it may cause other risks at the same time. If this causes your or any third party's rights and interests to be damaged, you shall deal with it yourself and bear corresponding responsibilities. The Company will not make any compensation or indemnity. At the same time, the Company reserves the right to suspend some or all of your permissions, freeze your recharge balance, temporarily or permanently ban your account and/or prohibit you from using various paid services at any time.

Non-refundable: Since the Cybercut paid services and equities are virtual consumer goods, the service fee is the network commodity price corresponding to the paid service you purchase, rather than the nature of advance payment or deposit, fixed deposit, savings card, etc. Once the paid service (including subscription service and credit service) is activated, it is non-refundable. Before purchasing the corresponding paid service, please carefully check the service and equity information, price, usage period, and relevant usage rules of this Agreement, and pay attention to carefully verifying your user account information for purchasing the service.
6. Instruction of Conduct

Please be informed that the equity to remove brand watermarks from generated content such as images and videos is a subscription-exclusive equity. If you are a non-subscription user or without our written permission, when you use AI functions to generate content through use, release, or dissemination means, you should mark the brand identification and logo involved in this function on the content interface (including but not limited to "Cybercut", "Kuaishou Cybercut", "Kwai Cybercut" etc., around "Cybercut", or the aforementioned identification deformed, or the brand identification and logo combined with other identifications); if the content generated by this function does not carry a brand identification due to objective reasons, you should prominently prompt in the usage scenario of the generated content (including but not limited to adding on the generated content interface or marking in prominent positions such as titles) that the relevant results are generated by "Cybercut".

You shall not have the following behaviors during the use of paid services:

Obtaining any one or more Paid Services and equities (including but not limited to obtaining through purchase, rental, borrowing, sharing, assignment, etc.) by theft, utilizing system vulnerabilities (including but not limited to robot software, spider software, crawler software, screen-swiping software, etc.) and rules/system setting defects or errors, or through any non-official or non-authorized channels, means, or methods of the Company, or maliciously utilizing or damaging Paid Services and equities;

Utilizing any one or more paid services and equities for profit or illegal gain, selling, transferring, licensing, or moving any one or more Paid Services or paid equities enjoyed by you in various ways, or lending this service or paid equities to others for use with compensation;

Modifying the service content, service period, consumption records, transaction status, etc., of any one or more paid services purchased under the User Account through illegal means, or using the purchased one or more paid services in an illegal way or for illegal purposes;

Actively cracking, changing, reverse-operating, tampering with, or otherwise damaging any security measure technology used by the Company to protect various Paid Services and equities, or assisting others in performing the aforementioned behaviors;

Utilizing any one or more paid services and equities to infringe on the legitimate rights and interests of the Company and any third party, such as intellectual property rights, property rights, and reputation rights;
-
Utilizing any one or more paid services and equities to harm or suspected of endangering minors;
-
Other behaviors that violate laws, regulations, or regulatory policies, violate the principle of honesty and credit, infringe on the legitimate rights and interests of third parties or Cybercut, and behaviors that violate this Agreement and relevant platform rules.
- Our Company respects and protects the legitimate rights and interests of users and others. You are reminded that if you upload/input sensitive information such as personal information or confidential information when using Cybercut, you should strictly follow relevant legal regulations, including obtaining legal and effective consent. You need to guarantee that when using various functions and services of Cybercut, the original contents (hereinafter referred to as "Information Content") such as videos, pictures, photos and other materials and data you upload, input, submit, output and release are legal, compliant and do not infringe on the legitimate rights and interests of any third party (including but not limited to portrait rights, personality rights, copyrights and copyright-related rights, patent rights, trademark rights, reputation rights, honor rights, property rights, personal information, confidential information, etc., the same below). If you violate this requirement, relevant disputes need to be resolved by you yourself, and relevant legal responsibilities need to be borne by you yourself. And the Company has the right to independently decide to remove such infringing content after receiving and verifying the relevant rights holder's complaint in accordance with relevant platform rules, or take measures within the scope of platform rights to prohibit you from continuing to apply such content. You need to bear the losses or adverse consequences caused to you thereby. The Company providing relevant services to you is not deemed as recognizing that the "Information Content" you upload and release is legal, compliant and non-infringing. If it causes losses to the Company thereby, the Company has the right to claim compensation from you, and has the right to take relevant processing measures according to Article 9 of this Agreement depending on the situation.
7. Suspension and Termination of Services
- The Paid Services you have purchased may be suspended or termination in the following situations:

Active suspension or termination by you, including but not limited to suspending or terminating the purchased Paid Services, failure to renew upon expiration of the service period, or cancellation of your User Account;

Active suspension or termination of the corresponding Paid Services by us due to your breach of these Terms, any of the Service Agreements and Rules or any other relevant terms and rules implemented by us from time to time;

Suspension or termination of the Paid Services by us due to applicable legal and regulatory requirements or force majeure events;
-
Other situations where the Paid Services should be suspended or terminated in accordance with applicable laws and regulations.

After the suspension or termination of the Paid Services, we will provide you a with reminder or notice.

If you are unable to use the Paid Services as a result of the foregoing, you can contact us with any questions you may have at the contact information specified in Article 11 of these Terms.

In the event of suspension or termination on any grounds under Article 7.1:

To the extent permitted under applicable law, the Company shall not be liable to you or any third party for any claims, refunds, damages, or losses whatsoever;

The Company has the right, but not the obligation, to ensure that you retain information about your subscriber data in relation to the relevant Paid Services.
- When the termination of the Paid Services you purchased occurs as mentioned above, you have no right to request the Company to continue to provide you with the corresponding Paid Services, user rights and interests, or to request the Company to fulfill any other obligations related to the termination of the Paid Services, but this does not affect the rights and obligations arising from the Terms between you and the Company prior to termination. You shall indemnify the Company for all losses and/or expenses incurred by the Company (including legal fees on an indemnity basis) in relation to any claims of third parties and any penalties imposed by any governmental, regulatory or statutory bodies, arising out of or in connection with the termination or suspension of the Paid Services you purchased. You shall indemnify the Company for any losses and/or expenses incurred by the Company as a result.
8. Risk and Liabilities

Please understand that in order to improve the user experience and service, the Company may from time to time update and optimize its offering of Paid Services, functions, purchase programs, membership subscription programs or upgrade programs and user rights and interests, etc., and that the process of updating and optimizing may involve the downgrading or adjusting of some of the on-line functions and rights and interests, and that the Company will use commercially reasonable endeavors to protect your legitimate rights and interests.

When purchasing, it is your responsibility to confirm that the information of purchase equipment, the amount which you intend to purchase, the account under which you intend to purchase, your E-mail as associated with your account, purchase demand, operating system and channel are accurate before each payment transaction is made. You should follow the guidelines on the relevant function page on the Platform to complete the purchase. If your rights and interests are damaged for any reason, whether due to the wrong account number, wrong amount that you paid, wrong type of purchase, wrong User Account number, wrong amount of money, improper operation, or lack of understanding of billing method, or otherwise, you are fully responsible for the losses and damages incurred and will not be compensated or indemnified.

Please note that each Paid Service and the corresponding paid rights and interests are limited to your own use through your registered User Account. Without the written consent of the Company, each User is prohibited from granting, borrowing, renting, transferring, selling or otherwise licensing the use of the User Account and the Paid Services and all rights and interests in relation to the User Account to others in any form. If the Company finds or has reasonable grounds to believe that the actual user is not the owner of the User Account, in order to protect the User Account and the security of user rights and interests, the Company has the right to immediately suspend or terminate the provision of the corresponding services or rights and interests to the User Account. You should correctly use and properly store your User Account credentials and maintain the confidentiality of your User Account and password, so as to prevent any leakage, loss, theft and any other unauthorized actions.

After you subscribe to and purchase the Paid Services, you can use them at any time within the Validity Period as needed. The Company hereby reminds you that since the terms herein, including those in relation to the Validity Period, are relevant to your own rights and interests in respect of your User Account, please be sure to carefully review the purchase page of the relevant Paid Services on the Platform and the detailed page description of the services before purchasing the Paid Services. Please ensure that you fully understand the contents of these Terms, the purchase page of the relevant Paid Services, and the detailed page description to ensure that you have a clear understanding and awareness of the Paid Services you purchased, the corresponding rights and benefits you will enjoy, and the rules governing your use of the Paid Services as set out in these Terms.

If you cannot use the purchased Paid Services normally due to changes in laws and regulations, government actions, changes in circumstances, etc., the Company will notify you in an appropriate manner, but will not bear any losses caused to you thereby. If you have any questions about this, you can contact the Company through the complaint and contact information agreed upon in this Agreement.

You understand and agree that if you violate laws and regulations or the provisions of this Agreement or relevant platform rules, resulting in or generating any claims, demands or losses claimed by a third party, you shall bear the responsibility independently. If it causes losses to the Company or Cybercut thereby, you shall bear the responsibility for compensation.

If you have any behavior that violates national laws and regulations or regulatory policies, violates this Agreement or is detrimental to the reputation and interests of Company and/or its affiliates, we have the right to take one or more of the following processing measures, which include but are not limited to:

Issuing a warning and requiring rectification through in-site letter notifications and other methods;

Taking one or more measures to stop your behavior and the consequences generated by the behavior, such as limiting/prohibiting you from continuing to purchase one or more paid services or enjoying corresponding service equities, deleting/blocking relevant links or content, limiting/canceling partial or all permissions/functions of your account, temporarily freezing or permanently banning or freezing your account, etc.;

Immediately interrupting or terminating partial or all paid services and corresponding equities without notifying you, and the paid service fees you have paid will not be refunded and you will not obtain any form of compensation/indemnity;

You shall be responsible for the behavior and legal consequences of your illegal and improper activation and use of any one or more paid services;

We have the right to require you to return the benefits or illegal gains you obtained through selling, transferring, licensing, etc. (if any);

If your behavior causes the Company or/and its affiliates to suffer any losses, you should bear full responsibility for loss compensation and complete the fee payment within the time limit required by the Company;

The Company and/or the platform have the right to require you to compensate the Company for the losses caused by your behavior (including but not limited to the compensation paid by the Company to a third party, administrative fines, notary fees, appraisal fees, travel expenses, attorney fees, litigation fees and other reasonable expenses).
- In addition, for your relevant illegal, non-compliant and criminal behaviors, the Company also has the right to preserve the relevant information of you and your user account and report to relevant competent departments, public security/judicial organs to pursue relevant legal responsibilities in accordance with applicable law.
9. Exclusion of Liability

You should have a fully understanding and legally use artificial intelligence technology, and shall not violate this Agreement and any platform rules, nor violate any applicable regulations. Any judgment you make based on the output/released content or subsequent related operations performed accordingly, the consequences and responsibilities brought thereby (including but not limited to risks generated by your judgment on the authenticity, accuracy, reliability, and non-infringement of the output content, etc.) shall all be borne by you yourself.

You understand and agree that the products and services we provide are provided in the current state that existing technology and conditions can achieve. We do not provide any express or implied guarantees for the following situations:

The products and services fully suit your usage requirements and meet specific purposes, and any products, services or other information obtained through us meet your expectations;

The products and services are not interfered with, timely, safe, reliable or do not appear any errors, and are permanently available;

Any errors in the products and services will be corrected;

You do not face any risks during the use of products and services.
But the Company is willing and welcomes you to put forward your valuable opinions on the improvement and enhancement of Cybercut functions and various services. The Company will fully consider your reasonable opinions and continuously optimize platform functions and services.

Please understand that there may be certain risks in any payment transactions you make through various payment channels for the purchase of the Paid Services (including, but not limited to, threat actors stealing user accounts or bank information to carry out illegal activities, threat actors committing fraud to deceive the User to payments, etc.), and such risks may cause corresponding economic losses to you. The Company has no control over the above risks and has no legal obligation to pursue legal liability from the wrongdoers or compensate you for your losses. The Company will provide you with assistance within the scope permitted by laws and regulations to minimize your losses, but any assistance provided by the Company shall not be evidence or basis for the Company to assume legal responsibility.

Please understand that the Company cannot at all times foresee and prevent technical and other risks, including but not limited to force majeure, governmental actions, network reasons, system or equipment failure (including but not limited to server downtime/crash, system instability/failure, database failure), power failures, third-party service defects, hacking, computer viruses/Trojan horses/malicious programs and other circumstances beyond its control or circumstances that are not reasonably foreseeable, such as service interruptions and losses to the user's personal data and information. The Company shall not be liable for any loss, damage or refund of any fees arising out of any interruption of services, loss of User's personal data and information caused by any system or equipment failure (including but not limited to server downtime/crash, system stability/failure, database failure), power failures, third party service defects, hacking, computer viruses/Trojan horses/malicious programs and other circumstances beyond the Company's control or circumstances that are not reasonably foreseeable.

You understand and agree that if the Paid Services purchased by you or the related rights and interests are interrupted or unavailable due to the Company's fault, the Company will take measures to restore your rights and interests as soon as possible and at its sole discretion, compensate you according to the actual situation (such as, by extending the corresponding Validity Period, giving away part of the free experience rights and benefits, etc., whichever is actually provided), and that the Company will do its best to protect your rights and interests.

Please understand that the Company may determine whether to continue to provide you with the existing Paid Services and related user rights and benefits, or to modify or adjust the existing Paid Services and related user rights and benefits based on a multitude of factors including but not limited to operational planning, market environment, Company operations, policy changes, etc. The Paid Services and related user rights and benefits that you enjoy is subject to the description of the Paid Services on the relevant page of the Website/SDK/API, at the time of your purchase of the Paid Services, and the Company will do its best to ensure your rights and benefits.

The Company shall not be liable for any loss or liability arising from the Company's inability to provide the Paid Services or any error in the provision of the Paid Services due to your own reasons, for which you are solely responsible, including but not limited to:

Your account being invalidated, lost, or suspended;

Losses or liabilities caused by third-party payment institutions, banks and other accounts you are bound to for whatsoever reasons, including the reasons of your use of unauthenticated accounts or use of accounts that are not your own, your account being frozen or seized, and so on;

Losses due to your disclosure of your password to others;

Property damage caused by your personal willfulness or gross negligence.
- If the payment process involves related services provided by a third party, in addition to complying with these Terms, you also need to agree to and comply with the terms and related rules of such third parties governing such services. In the event of any disputes between you and the third party arising out of the related services provided by such third party, you acknowledge that you will be fully responsible for resolving such dispute and the Company is under no obligation to assume any responsibility to you or to the third party.
10. Terms of Service for Minors

Anyone below the age of 13 or other minimum age as defined under applicable laws of your jurisdiction ("Minimum Age") shall not use the Services.

If you have reached the Minimum Age but are under the age of majority as defined under applicable laws of your jurisdiction ("Majority Age"), you may only use Paid Services through the representation of your parent or legal guardian and that they abide by the stipulation of Cybercut Terms of Service and Cybercut Privacy Policy.

Appendix: Automatic Renewal Service Rules
This Automatic Renewal Service Rules (hereinafter referred to as "the Rules") shall be deemed as a supplementary agreement of the "Cybercut Paid Services Agreement" and shall be an integral part of the Cybercut Paid Services Agreement. If there is any conflict between the Rules and the Cybercut Terms of Paid Services, the Rules shall prevail.
When purchasing Paid Services of Cybercut, if you confirm that you have selected "Monthly Subscription" or "Yearly Subscription" or "Credit Pack" and agreed to Cybercut Terms of Paid Services by checking the box or continue to operate (including but not limited to clicking to agree, or continue to purchase, or complete the payment, or use of Paid Services), you shall be deemed to agree to this Rules.
You understand and agree that:
1. Automatic Renewal Service
This Automatic Renewal Service is based on your need for automatic renewal. Under the premise of your subscription of Cybercut Subscription, the Automatic Renewal Service is a service launched to prevent any loss due to your negligence or failure to renew the Subscription service in time for any other reasons. If you choose to use the Automatic Renewal Service, you authorize the Company, when the automatic renewal billing cycle for the Paid Service subscribed is about to expire, to authorize the payment channel (such as Stripe) to deduct the Service Fee for the next billing cycle from the balance of your payment account bound with your User Account for purchase of Paid Service. You acknowledge that the billing cycle may be determined by the payment channel at its sole discretion in accordance with the actual situation. Once the automatic payment is successfully made, your subscription for Paid Service is continuous until you cancel the automatic renewal service or such the subscription service is suspended, discontinued or terminated in accordance with the Cybercut Terms of Service.
2. Type of Automatic Renewal Service
2.1 Currently, Continuous Subscription includes "Monthly Subscription", and "Yearly Subscription".
The specific Subscription and its corresponding Subscription benefits are subject to announcements made on the relevant pages of the Website from time to time and the service benefits expressly specified on the Website at the time of your actual subscription.
2.2 The Company may add and adjust types of Automatic Renewal Service and contents of benefits of Automatic Renewal Service according to business development and changes in users' demands. Please refer to the contents and detailed description displayed on the specific interface when subscribe the Paid Services.
3. Automatic Renewal Service Billing Rules
3.1 If you choose the Automatic Renewal Service, you agree that the payment channel may automatically deduct the Service Fees of the next billing cycle from the payment account bound with your User Account, without verifying the password of Cybercut Subscription Account, password of payment account, payment password or any other information;
3.2 Unless you cancel the Automatic Renewal Service voluntarily or the Company cancels the Automatic Renewal Service on its own initiative, the Automatic Renewal Service will be renewed and deducted automatically without any limit on the times;
3.3 If you fail to cancel the Automatic Renewal Service, you shall be deemed to have agreed that the Company may automatically deduct the service fees within a certain period after the expiry of the corresponding Automatic Renewal billing cycle in accordance with the rules or policies of the payment channel.
3.4 Upon successful completion of the automatic renewal payment, the Company will automatically extend your subscription to the Paid Services by the billing cycle you selected when activating the automatic renewal service. In the event that the fees cannot be deducted normally due to force majeure (e.g., network disruption or other unforeseen circumstances) prior to the end of the previous billing cycle, the deduction will be postponed until successful completion.
Please ensure your payment account has sufficient balance. You are responsible for any risks and/or losses resulting from renewal failure due to issues with your payment account or insufficient funds.
4. Automatic Renewal Notice
In order for you to know the situation of Automatic Renewal, we and the payment channels will send to you an Automatic Renewal Notice or other methods prior to the expiration date of the Automatic Renewal Service you have selected (the notice from the payment channel shall be subject to the actual implementation by the operator of the payment channel).
5. Price Adjustment
Please note that the Company reserves the right to adjust the prices of Automatic Renewal Service. During the term of your Automatic Renewal Service, if the Company adjusts the price of paid service corresponding to your Automatic Renewal Service, the Company will notify you thereof by reasonable methods product interface publication, platform announcement or in-site messages. The adjusted price will take effect on the date of the adjustment or as otherwise notified by the Company. If you disagree with the price adjustment, you may choose to cancel the Automatic Renewal Service in accordance with the Rules, and your Paid Service subscription will expire at the end of the current billing cycle. Importantly, to ensure your continued Subscription benefits, the Company will not revoke the automatic deduction authorization with the payment channel until you explicitly cancel the Automatic Renewal Service.
6. Cancellation of Automatic Renewal Service
You shall have the right to choose whether to continue to use or cancel the Automatic Renewal Service. If you choose to cancel the Automatic Renewal Service, you shall cancel the subscription prior to the expiration date of the Automatic Renewal billing cycle you select. The specific requirements for the cancellation date shall be determined by, and subject to, the information provided via the product interface, platform announcements, in notifications, email notifications, or other communications from the Company.
After the cancellation, the term of the Paid Service you subscribe will expire from the expiration date of the current billing cycle. If you fail to cancel the subscription in a timely manner, the payment channel will continue to deduct the service fee for the next and the subsequent billing cycle, and the term of the Paid Services will be postponed to the expiration date of the next billing cycle. Please note that the cancellation date may be subject to the rules of certain payment channels. For example, if you cancel within 2 calendar days (48 hours) prior to the end of the current billing cycle for an Automatic Renewal Service, such payment channels may have already processed the deduction for the service fee for the next billing cycle. Where such deduction has been successfully completed, the paid service you have purchased will remain available until the end of that next billing cycle. The specific deduction rules are subject to the information displayed on the relevant page where you activate the auto-renewal feature.

You can unsubscribe in the following way:

8. Termination of Automatic Renewal Service
The Company shall have the right to stop providing you with the Automatic Renewal Service based on its operation strategy, and shall send notice to you by platform publication, in-site messages and other methods prior to the termination of such Automatic Renewal Service. The term of the Paid Service you subscribe shall expire from the expiration date of the current Automatic Renewal billing cycle.
